Terms of Service

Terms of Service

October 7, 2026Version: 2.3

These Terms of Service ("Terms") govern your access to and use of the Arconi platform and any services operated on it, including the Mr Darcy app.

By creating an account, confirming your agreement where we ask you to, or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Please note: paid plans renew automatically until you cancel (Section 11), and Section 17 explains how disputes are resolved, including binding arbitration and a class action waiver that you can opt out of within 30 days of first accepting these Terms.

Language

These Terms may be provided in languages other than English for convenience. The English version is the legally binding and controlling version. If there is any inconsistency between a translated version and the English version, the English version will prevail.

1. Who We Are

Arconi is operated by Arconi Inc, a Delaware corporation ("Arconi," "we," "us," or "our").

Arconi provides a platform for AI-powered conversational services. These services may be offered under different brand names or experiences, including (but not limited to) Mr Darcy (each, a "Service").

Regardless of the brand or experience you use, your contractual relationship is with Arconi Inc. All billing, data processing, and legal responsibility flows through Arconi.

2. What Arconi Provides

Nature of the Service. Arconi provides interactive fictional storytelling and character roleplay for adults, generated by large language models and related technologies. All characters are fictional and AI-generated; conversations are works of fiction. Content is written for an adult audience (18+) and may include romantic themes, emotional intimacy, and mature situations presented in a literary, non-explicit register.

Important things to understand:

  • You are interacting with artificial intelligence, not a human.
  • AI personas are fictional characters. They do not have real feelings or consciousness, and they do not have a real relationship with you.
  • A character may refer back to things you have said before. That is because we store your conversation history to make it possible (see our Privacy Policy), not because the character remembers the way a person does.
  • AI outputs are probabilistic and may be inaccurate, incomplete, misleading, or inappropriate.

The Services are provided for entertainment purposes. While interactions may feel conversational, engaging, or emotionally responsive, the Services are not designed, intended, or represented to provide professional advice, emotional counseling, therapy, or real-world decision support.

Arconi does not represent or warrant that the Services are appropriate for any particular use, situation, or individual. You acknowledge that any reliance on AI-generated content is at your own discretion and risk.

What the Services are NOT

  • Not human interaction. There are no real people behind the AI personas.
  • Not professional advice. Do not rely on AI responses for medical, legal, financial, therapeutic, or other professional decisions.
  • Not therapy or mental health treatment. The Services are not a substitute for professional mental health care.
  • Not a replacement for real relationships. Do not rely on AI characters as your primary source of emotional support.

If you require medical, psychological, or mental health support, you should seek assistance from a qualified professional or appropriate support service. If you are in crisis, see Safety and crisis support in Section 7.

3. Eligibility and Age Requirements

You must be at least 18 years old to use the Services. The Services are for adults only. AI character chat products may not be suitable for some minors.

By using Arconi, you confirm that:

  • You are 18 or older
  • You have the legal capacity to enter into these Terms
  • You have answered our age confirmation prompts truthfully

We use age-screening measures, including:

  • An age confirmation gate upon first access
  • Age confirmation during account registration

We may introduce additional age-assurance checks, for example in particular countries or for particular features, and may ask you to complete them in order to keep using the Services.

We do not knowingly allow use by minors. If we discover that a user is under 18, we will terminate their access immediately.

4. Accounts and Access

You may need to create an account to access some Services.

You are responsible for:

  • Keeping your login credentials secure
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

You must not:

  • Share your account with others
  • Create multiple accounts to circumvent restrictions or usage allowances
  • Attempt to access accounts you do not own
  • Interfere with or disrupt the Services

We may suspend or terminate accounts that violate these Terms.

5. Service-Specific Terms

Arconi operates multiple Services, each of which may have additional rules, disclosures, or restrictions based on the nature of that Service ("Service-Specific Terms").

These may include:

  • Content warnings or age confirmations
  • Usage limitations
  • Community or behavioral guidelines
  • Feature-specific terms

Service-Specific Terms will be presented to you within the relevant Service and are incorporated into these Terms by reference.

Precedence: If there is a conflict between these Terms and any Service-Specific Terms, the Service-Specific Terms govern for that Service only, except for provisions that cannot be overridden (such as arbitration, limitation of liability, and governing law).

6. Prohibited Content and Conduct

Content standards. The Service is not a pornographic platform and does not permit sexually explicit material.

You may not use the Services to create, request, upload, share, or promote:

Illegal content

  • Content that violates any applicable law
  • Content that infringes intellectual property rights
  • Content that facilitates illegal activities

Harmful content

  • Content depicting or promoting child sexual abuse or exploitation (zero tolerance)
  • Content promoting violence, terrorism, or harm to others
  • Content promoting or encouraging self-harm or suicide
  • Harassment, bullying, threats, or hate speech

This does not stop you from talking about difficult feelings. If a conversation suggests you may be at risk, a character may step out of the story to share crisis resources. See Safety and crisis support in Section 7.

Sexual content

  • Sexually explicit or pornographic content
  • Any sexual content involving minors, or characters depicted as minors (zero tolerance)
  • Non-consensual sexual scenarios
  • Sexual or romantic content depicting real, identifiable individuals without their consent

Deceptive content

  • Impersonation of real individuals (for sexual or romantic depictions of real, identifiable individuals, see Sexual content above)
  • Misinformation intended to deceive
  • Fraudulent schemes or scams

System abuse

  • Attempts to "jailbreak" or manipulate the AI into producing prohibited content
  • Malware, viruses, or attempts to compromise systems
  • Automated access without permission (bots, scrapers, etc.)
  • Using the Services or their outputs to build, train, or benchmark another AI product
  • Any other use that is not personal use under Fair use and usage allowances in Section 11

AI caveat

Despite safeguards, AI systems may occasionally generate unexpected or inappropriate responses. Such outputs:

  • Are not intentional
  • Do not reflect the views of Arconi
  • Do not change the prohibited nature of the content

You agree to report problematic outputs and not continue to solicit such content.

Enforcement

We reserve the right to remove content, suspend accounts, and report illegal activity to law enforcement. Violations involving child sexual abuse or exploitation will be reported to appropriate law enforcement or child protection authorities, including the National Center for Missing and Exploited Children (NCMEC) where legally required or appropriate, as well as relevant authorities in other jurisdictions.

7. AI Output Disclaimer

AI-generated content:

  • Is provided "as is"
  • May be incorrect, incomplete, offensive, or inappropriate
  • Should not be relied on as fact, advice, or truth

You understand and agree that:

  • AI systems can "hallucinate" and generate false information
  • Responses may vary and are not guaranteed to be consistent
  • Arconi does not guarantee accuracy, safety, or suitability
  • AI personas simulate emotions but do not actually have feelings

Not a substitute for real support

The Services are entertainment. They are not a substitute for professional care, crisis support, or real human relationships. You should not:

  • Rely on the Services as your primary source of emotional support
  • Substitute the Services for real human relationships or professional support

Safety and crisis support

If you are in crisis or thinking about harming yourself, please contact your local emergency services or a crisis line right away. In the United States, you can call or text 988 (Suicide & Crisis Lifeline). Outside the United States, contact your local emergency number or a crisis line in your country.

Our characters are designed to recognise signs of distress and point you to crisis resources, but they cannot assess your situation or send help. Our approach is described in our crisis protocol: https://www.arconi.ai/safety-crisis-support.

No professional advice

AI-generated content does not constitute professional advice. Do not rely on AI responses for:

  • Medical or health decisions
  • Legal matters
  • Financial or investment decisions
  • Mental health treatment
  • Any decision with significant consequences

You use the Services at your own risk.

8. Moderation and Enforcement

Arconi has no obligation to monitor all user activity or AI outputs, but reserves the right to do so where necessary for safety, compliance, or operational purposes.

To keep the platform safe, Arconi may:

  • Monitor interactions (automatically and/or manually)
  • Remove or restrict content
  • Limit, suspend, or terminate accounts
  • Disable or modify any Service
  • Report violations to law enforcement
  • Take any action we believe necessary to protect users, the platform, or legal compliance

We are not obligated to provide advance notice, particularly for serious violations.

Appeals

If your account is suspended or terminated and you believe this was in error, you may contact us at help@arconi.ai to request review. We will consider appeals in good faith but are not obligated to reinstate any account.

9. User Content

You may provide content to the Services, including text and, in the future, images or files ("User Content").

By submitting User Content, you grant Arconi a non-exclusive, worldwide, royalty-free, sublicensable license to:

  • Host, store, process, analyze, and display the content
  • Operate, improve, and secure the Services
  • Monitor and improve the quality and safety of the Services (as described in Section 10)
  • Enforce safety and compliance

You retain ownership of your User Content.

We may:

  • Scan content automatically for safety
  • Review content manually where appropriate
  • Remove content at any time
  • Refuse to store or retain uploads

You are solely responsible for the content you submit.

What to keep out of your conversations

Conversations on the Services can be personal, and what you choose to share is up to you. Our Privacy Policy explains how we treat sensitive information. Do not share identifying details you would not want stored, including:

  • Social security numbers or government ID numbers
  • Full financial account numbers or passwords
  • Sensitive information about other people

Your conversations are private to your account, but they are stored and processed by us and our service providers, and they are not legally privileged communications.

10. Use of Data to Improve Services

We do not use your conversations to train or fine-tune AI models.

We use conversation data to operate the Services, keep them safe, and measure and improve their quality. In particular:

  • Generating replies: your messages are sent to third-party AI model providers acting on our behalf, who are not permitted to use them to train their own models
  • Quality monitoring: we use automated tools to score conversations for quality and safety, and use the results to improve our own configuration (the instructions and settings we give the AI, and how characters are written)
  • Aggregated statistics: we produce statistics that do not identify you
  • De-identified copies: outside the European Economic Area, the United Kingdom and Switzerland, we may keep de-identified copies of conversations for a limited period after an account is deleted, to evaluate and improve quality. They are never used to train AI models. Our Privacy Policy explains how this works and how to have your conversations fully deleted instead

If we ever decide to use conversations to train or fine-tune AI models, we will update these Terms and our Privacy Policy before we start, tell you, and ask for your consent where the law requires it.

Full details are in our Privacy Policy. The Privacy Policy explains how we handle personal data; it is not part of these Terms.

11. Plans, Payments and Subscriptions

Some Services are free and some require payment.

Fair use and usage allowances

The Services are designed for personal, conversational use by one person. Every plan, free or paid, comes with a usage allowance that resets daily. Allowances are not a fixed message count: they flex within a range so that, where possible, a conversation can come to a natural close rather than stopping abruptly. Your plan page describes how much conversation each plan supports, and the usage gauge in the app shows how much of your current allowance you have used. Plan descriptions indicate what a plan comfortably supports in normal personal use; they are not a promise of unlimited use, and all plans are subject to this section.

When your allowance for the day is used, the conversation will be brought to a close and messaging pauses until the allowance resets. Depending on your plan, you may be offered an upgrade, or the option to keep going using credits (see Section 12). We will make clear in the app when this is a plan limit and when it resets. Reaching an allowance is not a breach of these Terms and does not entitle you to a refund.

We may adjust allowances to keep the Services reliable and sustainable. Free allowances can change at any time. If we reduce the allowance on a paid plan, we will tell you in advance and the change will apply from your next billing period, so you can cancel first if you prefer.

The following are not personal use and are not permitted on any plan:

  • Automated, scripted, or bulk messaging
  • Sharing or reselling an account
  • Commercial use of the Services
  • Using the Services or their outputs to build, train, or benchmark another AI product

If we reasonably believe an account is being used this way, we may limit, suspend, or terminate it under Section 8.

Key points

  • Payments are processed by third-party providers (e.g., Stripe)
  • Charges will appear on your statement as Arconi Inc, usually followed by the name of the app
  • Prices are displayed at checkout and may vary by region
  • You are charged in the currency shown at checkout. If it is not the currency of your card, your card issuer may charge its own conversion fees
  • Prices include VAT or similar taxes where the law requires prices to be shown tax-inclusive. Otherwise, you are responsible for any applicable taxes

Automatic renewal

Paid plans are subscriptions that renew automatically. When you subscribe, you authorise us to charge your payment method the plan price shown at checkout at the start of each billing period (for example, every month) until you cancel. Your subscription has no end date: it continues, and you continue to be charged, until you cancel it.

To avoid being charged for the next billing period, cancel before your renewal date.

Add-ons, such as credit packs, are one-off purchases and do not renew (see Section 12).

We will send you a confirmation of your subscription terms after you subscribe, along with any renewal reminders the law requires.

Promotional and introductory pricing

If you subscribe at a promotional or introductory price, that price applies only for the period stated in the offer. After that, your subscription renews at the standard price shown to you at checkout, unless you cancel first.

If an offer includes a free or discounted trial, we will tell you at sign-up when the trial ends and what you will be charged afterwards. You will be charged when the trial ends unless you cancel before then.

Offers may be limited (for example, to new subscribers) and may be withdrawn for future sign-ups at any time.

Cancellation

You may cancel your subscription online at any time through your account settings. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • You will not be charged for subsequent periods
  • No refund will be provided for the current period, except as set out under Refunds below
  • Credits you have bought stay on your account and keep working after your plan ends. You can also ask us to refund the ones you have not used (see Section 12)

Refunds

Except where the law or these Terms give you a right to a refund (see below), fees are non-refundable. This includes:

  • Subscription fees (monthly, annual, or otherwise)
  • One-off purchases, including Add-ons such as credits (see Section 12 for when credits are refunded)
  • Partial subscription periods
  • Fees for periods during which your account was suspended for breach of these Terms

We do not provide refunds for change of mind or dissatisfaction with the Services. If you believe a charge was made in error, contact us promptly at help@arconi.ai and we will review it on a case-by-case basis.

If we end your subscription without cause. If we terminate your paid subscription for a reason other than your breach of these Terms or a legal requirement, we will refund the unused portion of the period you have paid for, pro rata. What happens to credits you bought is explained in Section 14.

If you live in the European Economic Area or the United Kingdom. You have the right to withdraw within 14 days of first subscribing to a paid plan, without giving a reason. To withdraw, use the withdrawal option in your account where we provide one, email help@arconi.ai, or tell us by any other clear statement within the 14 days. We will refund what you paid for that purchase in full. For credit purchases, see Right of withdrawal (EEA and UK) in Section 12.

If you live in Australia. Our Services, including Add-ons, come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms limits your rights under those guarantees, including any right to a refund for a major failure.

Everywhere. Nothing in this section limits any refund right you have under mandatory consumer law where you live.

Price changes

We may change our prices. If we increase the price of your subscription, we will email you notice at least 30 days before the new price takes effect, together with a reminder of how to cancel. Price changes will not affect your current billing period. If you do not want to continue at the new price, cancel before it takes effect.

Changes to how many credits replies use are covered in Section 12.

12. Add-ons and Credits

Some plans let you buy extras on top of your subscription ("Add-ons"). This section sets out the rules that apply to every Add-on, followed by the rules for each type. Credits are currently the only type of Add-on. If we introduce another type, we will add its rules to this section before we offer it.

Rules for all Add-ons

  • One-off purchases. Each Add-on is a single payment for what is described at the point of sale. It is separate from your subscription and does not renew.
  • Eligible plans only. Add-ons are available only on the plans, in the apps and in the regions where we offer them. What is offered, and its price, may differ between apps, plans and regions, and we may show different options to different members, for example to test prices. You will always see what you are buying and the total price before you pay.
  • Tied to your account. An Add-on belongs to the account and the app you bought it in. It cannot be transferred, sold or given to anyone else, or moved to another account or app.
  • Payment. The payment terms under Key points in Section 11 also apply to Add-ons.
  • Refunds. Add-ons are not refundable for change of mind, except as set out in this section or in Section 11, or where the law requires.
  • Changes. We may change, or stop selling, any Add-on for future purchases at any time. What happens to credits you have already bought is explained below.

Credits

What credits are. Credits (which an app may call by another name) let you keep talking with characters after your daily allowance has been used. Credits are a prepaid right to use the Services in that way. They are not money, a deposit or a gift card. Credits:

  • have no cash value and cannot be exchanged for money or anything else
  • cannot be transferred, sold or given to another person or account
  • can be used only to continue conversations, and do not unlock characters, features or content

Buying credits. Credits are sold in packs. Before you pay, the app shows how many credits each pack contains and its total price. Credits are added to your account as soon as your payment succeeds. Where a pack shows a saving (for example, "Save 17%"), the saving compares that pack's price per credit with our standard price per credit.

Your daily allowance comes first. Your plan's daily allowance is always used first and is never charged in credits. Credits are used only after your allowance for the day has run out and you choose to continue, for example by tapping "Keep going" when the conversation is brought to a close. That choice applies until your allowance resets. You can stop at any time, and credits you have not used stay on your account.

How many credits a reply uses. Replies do not have a fixed price. The number of credits a character's reply uses reflects what it costs us to generate that reply, so longer, more detailed replies and longer conversations use more credits. Every reply uses at least 1 credit and never more than 80 credits. Your current balance is always shown in the app.

Only a character's replies to your messages use credits. You are not charged credits for:

  • replies that fail, are blocked by our safety systems, or come back empty
  • messages we send on our own initiative, such as reminders or messages from our host character
  • work we do in the background, such as saving memories

Changes to how many credits replies use. We may change how many credits replies use, for example because our costs change, because we change the AI models we use, or because we change our prices. A change applies only to replies generated after it takes effect. If we expect a change to increase the average number of credits a reply uses in your app (measured over 30 days) by more than 10%, or to raise the 80-credit maximum, we will tell you in the app and by email at least 30 days before it takes effect. If a cost increase outside our control gives us less notice than that, we will tell you as early as we reasonably can. If you do not want to continue on the new basis, you can ask us to refund the credits you bought and have not used, at any time until 30 days after the change takes effect. Changes that reduce the credits replies use can take effect straight away.

Credits and your plan. You can buy credits only on the plans where we offer them (see Eligible plans only above). Using them does not depend on your plan: once credits are on your account, you can spend them whether or not you have a paid plan, including after a plan you had has been cancelled or has ended, and while a payment for your plan is overdue. If your paid plan ends, your credits stay on your account, subject to Expiry below and to Section 14, and you can keep using them or ask us to refund the credits you bought and have not used (see Refunds of credits below). Credits that are on hold because of a payment dispute cannot be used until the dispute is closed (see Chargebacks below).

The order credits are used in. Credits we give you for free are used before credits you bought. Within each kind, the credits that expire soonest are used first, credits that do not expire are used last, and otherwise older packs are used before newer ones.

Your balance can go slightly below zero. We only know what a reply costs once it has been generated, so a reply that has started will always finish, even if it uses more credits than you have left. This can take your balance below zero, by no more than 200 credits. Your balance can also go below zero if we refund, or your bank reverses, a payment for credits you have already used. We never charge your payment method for a negative balance. It is covered first from the next credits you choose to buy.

Expiry.

  • Credits you buy expire 12 months after the date you buy them, or after any longer period shown when you buy them. Each pack has its own expiry date, shown on your Plan & credits page. When credits expire, they are removed from your account.
  • If the app told you, when you bought a pack, that its credits never expire, those credits never expire.
  • We will remind you in the app and by email about 30 days, and again about 7 days, before credits you bought expire.
  • Credits keep their expiry date whether or not you have a paid plan. If credits you bought expire while you do not have a paid plan, you can still ask us to refund them within 90 days of their expiry date (see Refunds of credits below).
  • Credits we give you for free expire on the date we show you when we give them. We will remind you in the app before they expire.

Free credits. We may give you credits for free, for example as a goodwill gesture or as part of a promotion. Free credits are used before credits you bought, expire on the date we show you, have no cash value and are never refunded. Any other conditions of a promotion will be shown with it.

Refunds of credits. We do not refund credits for change of mind, except as set out below or where the law requires. We refund the credits you bought and have not used if:

  • your paid plan has ended and you ask us. This includes credits that expired while you had no paid plan, if you ask within 90 days of their expiry date
  • you are closing your account and you ask us before you delete it
  • we increase how many credits replies use and you ask us within the period described above
  • credits in your app have been switched off for more than 30 days in a row, or credits you bought expired while they were switched off and you ask us within 90 days of their expiry date (see If we stop offering credits below)
  • we end your paid plan or close your account in the circumstances described in Section 14
  • you withdraw from the purchase under Right of withdrawal (EEA and UK) below

We refund the unused share of the price you paid for each pack. For example, if you paid $9.99 for 1,000 credits and 400 of them are unused, we refund $4.00. Refunds go back to the payment method you used where possible; if that is not possible, we will agree another way to pay you. Free credits are never refunded. To ask for a refund, email help@arconi.ai from the email address on your account.

Right of withdrawal (EEA and UK). If you live in the European Economic Area or the United Kingdom, you can withdraw from a credits purchase within 14 days of buying the pack, without giving a reason. When you buy credits, you ask us to add them to your account and let you start using them straight away. If you withdraw, we refund the price of the credits in that pack that you have not used; you pay only for the credits you have already used, in proportion to the price of the pack. Once you have used all the credits in a pack, you can no longer withdraw from that purchase. To withdraw, use the withdrawal option in your account where we provide one, email help@arconi.ai, or tell us by any other clear statement, within the 14 days. We will refund you within 14 days of receiving your withdrawal.

Chargebacks. If you dispute a credits payment with your bank or card issuer, we remove the credits from that pack while the dispute is open, and any of them you had already used become a negative balance as described above. We may also put the rest of your credits on hold until the dispute is closed. If the dispute is decided in our favour, we restore the credits we removed. Once the dispute is closed, we release any hold, unless we are closing your account under Section 14. Please contact us first: we can usually sort out a problem faster than a dispute can.

If we stop offering credits. We may stop selling credits, or switch credits off in an app, at any time. While credits are switched off, your balance is kept but cannot be used. If credits stay switched off in your app for more than 30 days in a row, you can ask us to refund the credits you bought and have not used. If we stop offering credits in your app permanently, we will refund them without you needing to ask.

When your account ends. What happens to credits if you delete your account, or if we suspend or close it, is explained in Section 14.

Where you live. If the law where you live gives you a longer period to use credits, or other rights over them, those rights apply, and nothing in this section limits them.

Referral rewards

You can invite friends to the app with your personal referral link. When a friend you invite becomes a paying subscriber, you and your friend each get free credits ("referral rewards"). The rules below apply to referral rewards. By copying, sharing or showing your link or its QR code, you agree to them.

  • Who can refer. Registered members aged 18 or over, on a free or a paid plan, whose account is in good standing. Guests cannot refer.
  • Who counts as a friend. Someone who is new to the app (they have never had an account in it with the same login), who arrives through your link and registers within 30 days of following it. If a friend follows more than one referral link, the first link they followed counts (first link wins).
  • The qualifying payment. Rewards are earned when your friend's first subscription payment in the app is charged at more than zero, whatever plan, discount or offer applies. A free first period does not qualify, but the first paid period after it does. Plan changes and partial-period (proration) charges never qualify.
  • The rewards. Your friend gets the number of credits your link promised when they registered, added as soon as their qualifying payment succeeds. You get the number of credits shown in the app at the time of their qualifying payment. You see your credits straight away and can spend them after a short holding period shown in the app (currently 5 days). Referral rewards are free credits, so the rules for Free credits above also apply to them.
  • Expiry. Referral credits expire after the number of days shown in the app (currently 90 days). Yours count from the day they become spendable; your friend's count from the day they are added.
  • Limits. You can earn rewards for up to 20 friends in a calendar month and 100 in a calendar year (UTC), or other limits shown in the app. Once you reach a limit, friends who subscribe still get their reward, but you do not earn one for them.
  • If a payment is refunded or disputed. If your friend's qualifying payment is refunded in full, or disputed with their bank or card issuer, we remove the unused part of both rewards. If the dispute is decided in our favour, we restore what we removed. If two of your friends' payments are disputed, we may pause your link while we review it.
  • Self-referral and fraud. You cannot refer yourself, including through another account or email address you control. We do not give rewards for a referral that is not genuine, and we may withhold or remove rewards, and pause or end your link, if we reasonably believe a referral is fraudulent or breaks these Terms.
  • One kind of reward. Each member earns one kind of referral reward at a time. Members of our affiliate programme earn under its own terms instead.
  • Where rewards apply. Rewards are given, and can be used, only in the app where they were earned.
  • What you see about your friends. You see that a friend joined or subscribed, and the month it happened, and nothing else. We never show you a friend's name, the day, or any other detail about them.
  • No cash value. Referral credits have no cash value, cannot be exchanged for money, and cannot be transferred, sold or given to anyone else.
  • Sharing responsibly. Share your link only with people you know, or in places where sharing is welcome. Do not send spam or unsolicited messages. If you share your link publicly, for example on social media, you must make clear that you get a reward when people use it. Our ready-made share text does this for you.
  • Changes. We may change or end referral rewards, including their amounts, at any time. A change applies to friends whose qualifying payment happens after it takes effect. Rewards already given are not affected.

13. Intellectual Property

14. Termination

You may stop using the Services at any time. To delete your account, use the account settings or contact help@arconi.ai.

We may suspend or terminate your access:

  • For violation of these Terms
  • For illegal or harmful activity
  • To comply with law

  • For any other reason, with reasonable notice where practicable

Termination for violations, illegal or harmful activity, legal compliance, or to protect the platform or other users may occur without notice.

Upon termination:

  • Your right to access the Services immediately ceases
  • We may delete your data in accordance with our Privacy Policy
  • You are not entitled to any refund, except as set out under Refunds in Section 11 and Refunds of credits in Section 12

Credits. If you delete your account, any credits on it are permanently removed. If you are entitled to a refund of credits (see Section 12), ask us before you delete your account. We will remind you before you confirm the deletion. While your account is suspended, you cannot use credits. If we close your account or end your paid plan because you seriously or repeatedly broke these Terms, or for illegal or harmful activity, the credits on your account are forfeited, except where the law requires a refund. If we close your account or end your paid plan for any other reason, including because we learn that you are under 18, or because of inactivity, we will refund the credits you bought and have not used.

Sections that should survive termination will survive (including Sections 7, 9, 12 (as it applies to refunds and negative balances), 13, 15, 16, 17, and 18).

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Services are provided "AS IS" and "AS AVAILABLE"
  • We make NO WARRANTIES of any kind, express or implied
  • We do not warrant that the Services will be uninterrupted, secure, or error-free
  • We do not warrant that AI outputs will be accurate, appropriate, or safe

We specifically disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow certain warranty exclusions. In those cases, the above may not fully apply to you. Nothing in these Terms excludes rights or guarantees that cannot be excluded under the consumer law where you live, including the Australian Consumer Law.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Arconi Inc will not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of data, profits, revenue, or goodwill
  • Damages resulting from AI-generated content
  • Damages resulting from your reliance on the Services
  • Damages resulting from unauthorized access to your account

Our total liability for any claims arising from these Terms or the Services will not exceed the greater of:

  • The amount you paid to Arconi in the 12 months before the claim, or
  • USD $100

Basis of the bargain

You acknowledge that Arconi has set its prices in reliance on these limitations, and that they form an essential part of the agreement between us.

Jurisdictional limits

Some jurisdictions do not allow certain limitations of liability. In those cases, the limitations above apply to the fullest extent the law allows.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, for fraud, or (where applicable) for gross negligence or wilful misconduct.

17. Dispute Resolution

Please read this section carefully. It affects your legal rights, including your right to bring a claim in court and to take part in a class action.

Informal resolution first

Before starting any formal proceeding, you agree to send us a written notice of the dispute at legal@arconi.ai and give us the chance to resolve it informally. Your notice must:

  • Be sent on behalf of you individually (a notice covering more than one person is not valid)
  • Include your name, the email address on your account, and your country or state of residence
  • Describe the dispute and what you are asking for

We will do the same if we have a dispute with you, using the email address on your account.

You and we will try in good faith to resolve the dispute within 60 days of the notice. Neither of us may start arbitration or a court claim until that period has passed. Any limitation period is paused during those 60 days.

Binding arbitration

If the dispute is not resolved informally, you and Arconi agree to resolve it through binding individual arbitration, not in court, except as set out below.

  • Administrator and rules. Arbitration will be administered by JAMS under its applicable rules, including the JAMS Consumer Arbitration Minimum Standards where they apply.
  • Who decides. The arbitrator decides all issues in the dispute, including whether it must be arbitrated, except the issues this section gives to a court.
  • Location. The hearing will take place by video or telephone, or, if you prefer an in-person hearing, in the county (or equivalent) where you live, unless you and we agree otherwise.
  • Fees. Payment of filing, administration, and arbitrator fees is governed by the JAMS rules and minimum standards. We will not seek our legal fees from you unless the arbitrator finds your claim was frivolous or brought in bad faith.
  • Governing arbitration law. The U.S. Federal Arbitration Act governs the interpretation and enforcement of this section.
  • Decision. The arbitrator's decision is final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Mass filings

If your demand is part of a mass arbitration, as defined in the JAMS Mass Arbitration Procedures and Guidelines, you and Arconi agree that those procedures and guidelines apply. Any limitation period for your claim is paused from the date your demand is filed until it is resolved or withdrawn.

Class action waiver

You agree to resolve disputes individually, not as part of a class, collective, or representative action. The arbitrator may not consolidate more than one person's claims, except as provided under Mass filings above. A court, not the arbitrator, decides whether this class action waiver is enforceable.

If a court decides this waiver cannot be enforced for a particular claim or remedy (for example, public injunctive relief), that claim or remedy alone will be decided in court, after everything else has been arbitrated.

If for any reason a claim proceeds in court rather than arbitration, you and Arconi both waive any right to a jury trial.

Small claims exception

Either party may bring a claim in small claims court if the dispute qualifies.

Intellectual property exception

Either party may seek injunctive relief in court for infringement or misappropriation of intellectual property rights.

Opt-out right

You may opt out of this arbitration agreement by sending written notice to legal@arconi.ai within 30 days of first accepting these Terms. Your notice must include your name, address, the email address on your account, and a clear statement that you wish to opt out. Opting out does not affect any other part of these Terms.

Changes to this section

If we make a material change to this Section 17, you may reject the change by emailing legal@arconi.ai within 30 days of the change taking effect. If you do, the previous version of this section continues to apply to you.

International users

This arbitration agreement applies to the maximum extent permitted by law in your jurisdiction. If any part is unenforceable where you live, only that part is severed. If you are a consumer living outside the United States, nothing in this section takes away any right you have under the mandatory law of your country to bring a claim in your local courts.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts in Wilmington, Delaware.

International users: Mandatory local consumer protections may still apply depending on your location, and you may be entitled to bring proceedings in the courts of the country where you live.

19. General Provisions

AssignmentYou may not assign these Terms without our consent. We may assign them without restriction.
Force majeureWe are not liable for failures or delays due to circumstances beyond our reasonable control (natural disasters, war, government actions, internet outages, etc.).
No third-party beneficiariesThese Terms do not create rights for anyone other than you and Arconi.

20. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date and version at the top show when they last changed.

For material changes, we will give you at least 30 days' notice before the changes take effect, by:

  • Posting updated Terms on our website
  • Sending you an email notification
  • Providing in-app notification

If you have a paid subscription and do not agree to the changes, you can cancel before they take effect. Continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree, stop using the Services.

Changes to Section 17 are also subject to the rejection right described there.

Add-ons and credits. If you buy an Add-on after updated Terms take effect, the updated Terms apply to that purchase. We will not use a change to these Terms to shorten the expiry period of credits you have already bought, or to take away a refund right that applied to them when you bought them. Changes to how many credits replies use are covered in Section 12.
